1. Agreement to these terms
These Terms & Conditions ("Terms") govern your access to and use of the Gumly website, platform, and related services (the "Service") operated by Gumly Limited, company no. 16949574, 71-75 Shelton Street, London, England, WC2H 9JQ ("Gumly", "we", "us", "our").
By creating an account, connecting an advertising platform, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy (UK) explains how we handle personal data.
2. The Service
Gumly provides tools to help businesses and agencies with digital advertising, including:
- Connecting advertising accounts (including Google Ads)
- Performance analysis, diagnostics, and AI-generated recommendations
- Campaign planning and related marketing workflows
- Subscription-based access to paid features
3. AI recommendations and advertising results
- No guarantee of ad results: Gumly does not guarantee impressions, clicks, conversions, return on ad spend, revenue, rankings, or any other marketing outcome. Past performance and benchmarks are illustrative only.
- AI must be reviewed by you: Recommendations, drafts, diagnoses, and automated suggestions are generated by artificial intelligence and may be incomplete, outdated, or incorrect. You are solely responsible for reviewing all AI output before relying on it or applying it to live campaigns.
- Not professional advice: The Service does not provide legal, financial, tax, or regulated investment advice. You should obtain independent professional advice where appropriate.
4. Google Ads and connected platforms
4.1 Permission to connect
When you initiate a Google Ads (or other platform) connection, you grant Gumly permission to access your account via the platform's authorised OAuth process, solely to provide the features you use (e.g. reporting, diagnostics, recommendations, and changes you explicitly approve in the product).
4.2 Your responsibility for ad decisions
You remain responsible for all advertising decisions, including budgets, targeting, ad copy, landing pages, compliance with advertising policies and applicable law, and any changes published to live accounts. Gumly does not act as your advertising agency unless separately agreed in writing.
You must comply with Google Ads, Meta, and other platform terms. Disconnecting Gumly or revoking OAuth access does not affect spend or campaigns already live on those platforms.
5. Account registration and security
- You must provide accurate registration information and keep it up to date.
- You must be at least 18 years old and have authority to bind your business (if applicable).
- You are responsible for safeguarding credentials and all activity under your account.
- Notify us promptly at support@gumly.ai if you suspect unauthorised access.
6. Acceptable use
You must not:
- Use the Service unlawfully or to infringe others' rights
- Attempt to bypass security, scrape the Service without permission, or interfere with its operation
- Upload malware or misleading content
- Resell or sublicense the Service except as we expressly allow
7. Fees, billing, cancellation, and refunds
7.1 Subscriptions
Paid features are billed in advance on a monthly or annual basis through Stripe unless stated otherwise at checkout. Prices and plan features are shown on our pricing pages and may change with notice for future billing periods.
7.2 Advertising spend
Media spend on Google Ads and other platforms is billed directly by those platforms. It is separate from Gumly subscription fees.
7.3 Cancellation
You may cancel a subscription through account settings or by contacting support@gumly.ai. Cancellation stops future renewals; access typically continues until the end of the current paid period unless otherwise stated at checkout.
7.4 Refunds
Except where required by applicable consumer law, subscription fees are non-refundable once a billing period has started. If you believe you were charged in error, contact support@gumly.ai within 14 days of the charge. We may offer a discretionary refund or credit at our reasonable discretion. Nothing in these Terms affects your statutory rights if you are a consumer in the UK.
8. Suspension and termination
We may suspend or terminate your access, with or without notice, if:
- You breach these Terms or applicable law
- Payment fails or your subscription is not renewed
- We reasonably believe your use poses security, fraud, or abuse risk
- We discontinue the Service (with reasonable notice where practicable)
You may close your account by contacting support@gumly.ai. On termination, your right to use the Service ends; provisions that by nature should survive (including liability limits) will continue to apply.
9. Intellectual property
We own the Service, software, branding, and documentation. You retain ownership of your business data and ad account content. You grant us a limited licence to host, process, and display your data as needed to provide the Service.
10. Limitation of liability
Please read this section carefully.
To the fullest extent permitted by applicable law, the following apply in addition to Section 3 (AI recommendations and advertising results):
- No guarantee of advertising results. Gumly does not guarantee impressions, clicks, conversions, return on ad spend, revenue, rankings, or any other marketing outcome.
- You must review AI recommendations. You are solely responsible for reviewing all AI output before relying on it or applying it to live campaigns (see Section 3).
- No responsibility for lost ad spend or lost profits. Gumly is not responsible for lost advertising spend, lost revenue, lost profit, or other financial loss arising from your use of the Service, AI recommendations, or changes applied to third-party advertising platforms.
- Liability cap. Gumly's total aggregate liability to you for claims arising in connection with the Service in any 12-month period is limited to the greater of: (a) the fees you paid to Gumly in that period; or (b) £100.
- Exceptions. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot legally be limited.
- The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for loss of goodwill, data, or indirect or consequential loss arising from your use of the Service or third-party platforms, except as set out above.
11. Indemnity
You will indemnify and hold us harmless against claims arising from your use of the Service, your advertising content, your breach of these Terms, or your violation of third-party platform policies, except to the extent caused by our negligence or wilful misconduct.
12. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland you may also bring proceedings in your home jurisdiction where consumer law allows.
